Results of Togliattiazot 2019 Annual General Meeting

Togliatti, 29 June 2020 – Public Joint Srock Company Togliattiazot (PJSC TOAZ, the Company), Russia’s largest producer of ammonia, held the Annual General Meeting of Shareholders (AGM) on June 27th, 2020. In the event that has been held in absentia due to restrictions set in light of ongoing pandemic of the novel coronavirus SARS-CoV-2 took part the shareholders and their representatives, which hold over 80 per cent of the company’s voting shares. Therefore the AGM was declared duly constituted.

The General Meeting of Shareholders approved the annual report and financial statements of PJSC TOAZ for the year 2019.

The shareholders elected the Board of Directors of TOAZ PJSC consisting of 5 persons, namely:

  • Baker, Christopher
  • Makarov, Alexander
  • Mezheedov, Dmitry
  • Neplyuev, Nikolay
  • Ordzhonikidze, Petr


The General Meeting of Shareholders also elected the Audit Commission of TOAZ PJSC, consisting of 3 persons (Osipenko, Yuriy; Minakov, Sergey; Lushin, Sergey).

Also the shareholders and their representatives voted for decision to pay out the remuneration to the members of the Board of Directors of the Company equal to 5 per cent of the Company’s profit. The AGM also decided to pay out a remuneration of 450 thousand rubles to members of the Company’s Audit Commission for 2019.

As to profit distribution (including the payment (declaration) of dividends), it was decided not to declare and pay dividends.

As the Company’s auditor, Soft-Audit CJSC was approved.
