RESULTS OF TOGLIATTIAZOT 2020 ANNUAL GENERAL MEETING
Public Joint Srock Company Togliattiazot (PJSC TOAZ, the Company), one of the Russia’s leading producers of ammonia and urea, held the Annual General Meeting of Shareholders (AGM) on April 17th, 2021. The meeting was held in absentia in connection with the existing restrictions in Russia on public gatherings in relation to SARS-CoV-2 outbreak. The meeting was attended by shareholders and their representatives holding more than 80% of the voting shares of the Company. The meeting was duly constituted.
The General Meeting of Shareholders approved the annual report and annual accounting (financial) statements of TOAZ PJSC for 2020.
The shareholders elected the Board of Directors of TOAZ PJSC consisting of 5 persons, namely:
- Baker, Christopher
- Makarov, Alexander
- Mezheedov, Dmitry
- Neplyuev, Nikolay
- Ordzhonikidze, Petr
The AGM also elected the Audit Commission of PJSC TOAZ, consisting of 3 persons (Lushin Serget; Minakov, Sergey; Osipenko, Yuriy).
The shareholders and their representatives considered two different versions of the Company Regulations on Charity and Sponsorship Activities and decided to approve the version 2.
Also the AGM voted for decision to pay out the remuneration to the members of the Board of Directors of the Company equal to 5 per cent of the Company’s profit. The AGM also decided to pay out a remuneration of 450 thousand rubles to members of the Company’s Audit Commission for 2020.
As to profit distribution (including the payment (declaration) of dividends), it was decided not to pay dividends.
Soft-Audit JSC was approved as the Company’s auditor.
The Board of Directors of Togliattiazot (PJSC TOAZ) elected Petr Ordzhonikidze as the Chairman of the Board at a meeting held on April 18, 2021.

Togliatti, April 2, 2021 - TOAZ PJSC (Togliattiazot) held a presentation for citizens and authorities on the construction progress of the third urea unit - one of the key investment projects of the Russian chemical industry with a total value of more than 25 billion rubles. During the event, the participants had the opportunity to get acquainted with information about the current status of the project, learn about the benefits for the city and the region from the launch of the unit.
