RESULTS OF TOGLIATTIAZOT 2018 ANNUAL GENERAL MEETING

The General Meeting of Shareholders approved the annual report and financial statements of TOAZ PJSC for the year 2018. The shareholders also approved the new edition of a Regulation on Payment of Remuneration and Compensation to members of the Board of Directors of TOAZ PJSC and supported amendments to the Charter of the Company. Two versions of a new edition of the Regulation on the Board of Directors of the Company were presented before the AGM for voting. The shareholders supported the second version.

Also, two possible options for remuneration payment to the members of the Board of Directors of the Company following the results of year 2018 were presented for AGM approval. A shareholder proposed remuneration in amount of 10 per cent of the Company’s net profit, while the Board of Directors of the Company proposed a remuneration in amount of 5 per cent of the Company’s net profit. The shareholders and their representatives voted for decision to pay out the remuneration to the members of the Board of Directors of the Company in amount of 5 per cent of the net profit of the Company following the results of 2018. The AGM also decided to pay out a remuneration of 450,000 rubles to members of the Company’s Audit Commission at year-end 2018.

As to profit distribution (including the payment (declaration) of dividends), it was decided to pay out the cash dividends in total of one billion one hundred sixty six rubles which amounts to 2,320,186 rubles per one ordinary share. The date of determining the list of persons entitled to receive dividends is May 14, 2019.

The shareholders elected the Board of Directors of TOAZ PJSC consisting of 5 persons, namely:

· Suslov Vyacheslav

· Makarov Alexander

· Ordzhonikidze Petr

· Baker Christopher

· Neplyuev Nikolay

The General Meeting of Shareholders also elected the Audit Commission of TOAZ PJSC, consisting of 3 persons (Osipenko Yuriy, Minakov Sergey, Lushin Sergey). As the Company’s auditor, Soft-Audit CJSC was approved.
