RESULTS OF TOGLIATTIAZOT 2017 ANNUAL GENERAL MEETING
Togliattiazot (TOAZ PJSC, the Company), Russia’s largest producer of ammonia, held today the Annual General Meeting of Shareholders. The meeting attended by shareholders and their representatives, which hold over 80% of the company’s voting shares, was declared duly constituted.
The General Meeting of Shareholders approved the annual report and financial statements of TOAZ PJSC for the fiscal year 2017, as well as the Regulation on Payment of Remuneration and Compensation to Members of the Board of Directors of TOAZ PJSC as amended.
In accordance with the agenda, the General Meeting of Shareholders decided to prematurely terminate the powers of TOAZ PJSC (Togliattiazot Corporation CJSC) as the managing organization and transfer powers of the sole executive body of TOAZ PJSC to the managing organization (Togliattiazot Corporation Managing Company JSC).
As to profit distribution (including the payment (declaration) of dividends), it was decided not to declare and not to pay dividends. The General Meeting also decided to pay a remuneration of 450,000 rubles to members of the Company’s Audit Commission at year-end 2017.
The shareholders elected the Board of Directors of TOAZ PJSC consisting of 5 persons, namely:

· Makarov Alexander
· Ordzhonikidze Petr
· Baker Christopher
· Neplyuev Nikolay
The General Meeting of Shareholders also elected the Audit Commission of TOAZ PJSC, consisting of 3 persons (Karkovskaya Marina, Usachev Oleg, Severov Mikhail). As the Company’s auditor, Soft-Audit CJSC was approved.
Togliatti, 25 December 2018 – The major overhaul of the second urea unit has come to a close at Togliattiazot Public Joint-Stock Company, the largest Russian ammonia producer. As of today, all commissioning operations have been finalized, and the unit is operated at the full capacity.
Togliatti, 5 December 2018 – Documentation on planning of the area for construction of an ammonia and carbamide transshipment complex in Taman seaport (Krasnodarsky Region, Russia) was approved by the order of the Federal Agency for Maritime and River Transport (FAMART). The project is being implemented by Togliattiazot PJSC, the largest ammonia producer in Russia, at its own expense. The implementation of the project for the transshipment complex construction in Taman seaport proceeds in accordance with the Roadmap for Development of Seaports in the Azov and Black Sea Basin up to 2020 that was approved by the Government of Russia.
